　　甲乙双方本着平等自愿、共同发展的原则，就合作经营xxxx游船服务有限公司等相关事宜经友好协商，达成以下协议，双方共同遵守。
　　一、甲方xxx有限公司于20xx年x月x日将收购的xxxx服务有限公司的资产注入xxx游船服务有限公司。xxxx服务有限公司的资产为xx万元（其中资产价值xx万元，以评估报告为准。无形资产xx万元。）
　　二、乙方投入xx万元现金到xxx游船服务有限公司。
　　三、甲乙双方完成以上投资后，甲乙双方共同到工商部门办理股权变更登记手续。股权变更后甲方拥有xxx游船服务有限公司xx%的股权，乙方拥有xxx游船服务有限公司xx%的股权。
　　四、xxx游船服务有限公司游船经营资质归甲乙方共同所有。
　　五、乙方今后如要转让股权，必须优先将股权转让给甲方xxx有限公司，没有甲方同意不得转让给任何第三方。股权转让价格以转让时xxx游船服务有限公司的净资产为基数按所转让的股权份额计算。
　　六、公司成立董事会、监事会，董事会由5人组成，甲方3人、乙方2人；甲方出任董事长、乙方出任监事长。经营管理团队由董事会聘用。
　　七、甲乙双方暂定合作经营期限为20年，即从20xx年x月x日起至20xx年x月x日止。甲乙双方有意在经营期限届满后继续合作经营的，应当在经营期限届满前二个月重新签订合作协议书。（具体内容见公司章程）
　　八、本协议未尽事宜，可由甲乙双方另行商定，签订补充协议。补充协议与本协议不一致的，以补充协议为准。
　　九、对协议履行中发生的争议，甲乙双方应当协商解决，协商不成的，可向合同签订所在地法院起诉。
　　十、本协议一式二份，甲乙双方各执一份，具有同等效力。本协议自甲乙双方签字（章）之日起生效。
